DILLAS HOLIDAY SCRATCH OFF SWEEPSTAKES

1. Sponsorship. The sponsor is Dillas Quesadillas Holdings, LLC (“Sponsor”), located at P.O. Box 797621, Dallas, TX 75379. Sponsor may be reached by mail or email at office@dillas.com during the Sweepstakes Period defined below. Sponsor will conduct the Sweepstakes substantially as described in these Official Rules. Participants should look solely to Sponsor with any questions, comments or problems related to the Sweepstakes. 
2. Agreement to Rules: By entering this Sweepstakes, the Participant (“You”) agrees to abide by the Sponsor’s Official Rules and decisions, which are fully and unconditionally binding in all respects. The Sponsor reserves the right to refuse, withdraw, or disqualify any entry at any time at the Sponsor’s sole discretion. By entering this Sweepstakes You represent and warrant that You are eligible to participate based on eligibility requirements explained in the Official Rules. You also agree to accept the decisions of the Sponsor as final and binding as it relates to the content of this Dillas Holiday Scratch Off Sweepstakes. 
3. Sweepstakes Period: This promotion begins on November 29, 2024 and ends on January 31, 2025 (“Sweepstakes Period”). 
4. Eligibility: The Sweepstakes is open to legal residents of Texas and Louisiana who pick up a scratch-off card at participating Dillas Quesadillas locations. Participants must be 18 years of age as of January 1, 2025 in order to claim prize. This sweepstakes is subject to federal, state, and local laws and regulations and void where prohibited by law. Dillas Quesadillas Holdings, LLC’s employees, its subsidiaries and their employees, affiliates, suppliers, partners, advertising and promotion agencies, and directors (collectively the “Employees”) are not eligible to participate in the Sweepstakes. Household Members and Immediate Family Members of such individuals are also not eligible to participate in the Sweepstakes. “Household Members” shall mean those people who share the same residence at least three months a year. “Immediate Family Members” shall mean parents, step-parents, legal guardians, children, step-children, siblings, step-siblings, or spouses.
5. How to Enter: Eligible Participants can enter The Dillas Holiday Scratch Off Sweepstakes by visiting a Dillas Quesadillas participating location (“Restaurant”) between November 29, 2024 and December 31, 2024 (“Entry Period”) to obtain a Scratch Off Card (“Card”). Entries are limited to one Card per person per day during the Entry Period. The scratch off area of the card must remain intact until redeemed in January of the following year. Fraudulent methods of entry or circumvention of the rules may result in the Sponsor invalidating your entries and removing them from the Sweepstakes at the Sponsor’s sole discretion. 
6. Odds: The total number of eligible entries received determines the odds of winning. 

1. Redeeming Prizes: Eligible Participants must bring the entry Card back to a Restaurant between January 2, 2025 and January 31, 2025 (“Redemption Period”) with the scratch off area fully intact. At the instruction of a Dillas Quesadillas employee, the Participant may scratch the card to reveal the Prize won. Participants are limited to one Card redemption per person per day during the Redemption Period. The actual/appraised prize value may differ at the time the prize is awarded. The prize(s) shall be determined solely by the Sponsor. There shall be no cash or other prize substitution permitted except at the Sponsor’s discretion. The prize is non-transferable after the Card is scratched. By accepting the prize, the selected Winner grants permission for the Sponsor to use the Winner’s likeness, picture, and name for purposes of advertising and trade without further compensation unless prohibited by law. 
2. Delivery of Prize: Prizes resulting in a Coupon offer may be used immediately in the Restaurant, but no later than January 31, 2025. For other prizes (“Large Prizes”) or Grand Prize, the Sponsor will contact the Winner by email within five (5) days following the Winner’s redemption to arrange the delivery of said Prize. The Sponsor is not responsible for nor shall have any liability for Winner’s failure to receive notices due to email security settings that may cause notifications to be marked as spam or junk email. Nor shall the Sponsor be liable for the Winner’s provision of incorrect or otherwise non-functioning contact information. If the Winner 1) fails to claim the Large Prize or Grand Prize within five (5) days from the time the award notification was sent, 2) is found ineligible, or 3) does not complete and return an executed declaration and release within the specified timeframe, the Large Prize or Grand Prize may be forfeited. Receipt of the prize (offered in the Dillas Holiday Scratch Off Sweepstakes) by the Winner is upon the condition of compliance with any and all federal, state, and local laws and regulations. IF THE WINNER VIOLATES ANY OF THESE OFFICIAL RULES, THE WINNER (AT THE SPONSOR’S SOLE DISCRETION) WILL BE DISQUALIFIED, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED. 
   1. The Winner, upon acceptance of the prize, is solely responsible for all expenses related to the prize, including without limitation any and all local, state, and federal taxes. If a prize is more than $600, the Winner must provide the Sponsor with a valid Social Security number or taxpayer-identification number before the Sponsor can award the prize. A Form 1099 will be issued to Large Prize winners and the winner of the “Grand Prize Winner”.
3. Rights Granted by You: By entering into this Sweepstakes, You understand and agree that the Sponsor, any individual acting on the Sponsor’s behalf, and the licensee’s successors, and assigns of the Sponsor shall, where permitted by law, have the right to print, publish, broadcast, distribute and use in any media known now or hereafter developed, in perpetuity, worldwide, and without limitation, your submission, name, photo, portrait, voice, likeness, image, statements about the Dillas Holiday Scratch Off Sweepstakes, and your biographical information for news, publicity, advertising, promotional purposes, trade, information, and public relations without any further notice, review, consent, compensation, or remuneration. 
4. Terms & Conditions: In its sole discretion, the Sponsor reserves the right to modify, suspend, cancel, or terminate the Dillas Holiday Scratch Off Sweepstakes should non-authorized human intervention, a bug or virus, fraud, or other causes beyond the Sponsor’s control, impact or corrupt the security, fairness, proper conduct, or administration of the Dillas Holiday Scratch Off Sweepstakes. The Sponsor, in the event of any of the above issues, may terminate the Sweepstakes. Individuals who tamper with or attempt to tamper with the operation or entry process of the Sweepstakes or violates these Terms & Conditions will be disqualified by the Sponsor in its sole discretion. In its sole discretion, the Sponsor has the right to maintain the integrity of the Dillas Holiday Scratch Off Sweepstakes, to void redemption for any reason, including, but not limited to: visiting multiple locations in one day to obtain or redeem Cards, visiting the same location at multiple times during a day to obtain or redeem Cards, or tampering with the scratch off material prior to redemption at the Restaurant. Attempts by any Participant to deliberately undermine the legitimate operation of the Dillas Holiday Scratch Off Sweepstakes may be a violation of criminal and civil laws. If any such attempt is made, the Sponsor reserves the right to seek damages to the fullest extent permitted by law. 
5. Limitation of Liability: Your entry into this Sweepstakes constitutes Your agreement to release and hold harmless the Sponsor and its subsidiaries, representatives, affiliates, partners, advertising and promotion agencies, successors, agents, assigns, directors, employees, and officers against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages that may occur, directly or indirectly from participation in the Sweepstakes and/or the 1) Winner accepting, possessing, using, or misusing of any awarded prize or any portion thereof; 2) any type of technical failure; 3) the unavailability or inaccessibility of any transmissions, phone, or Internet service; 4) unauthorized intervention in any part of the entry process or the Promotion; 5) electronic error or human error in the Promotion administration or the processing of entries. 
   1. If, for any reason, the Sweepstakes is not capable of running as planned for reasons which may include without limitation, tampering, unauthorized intervention, fraud, technical failures, acts of God, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes in whole or in part. In such event, Sponsor shall immediately suspend all redemption and prize awards, and Sponsor reserves the right to award any remaining prizes (up to the total ARV as set forth in these Official Rules) in a manner deemed fair and equitable by Sponsor. Sponsor and Released Parties shall not have any further liability to any participant in connection with the Sweepstakes.
   2. By entering, You agree to release, discharge, indemnify and hold harmless Sponsor from and against all claims and damages or liability arising in connection with your participation and/or entry in the Dillas Holiday Scratch Off Sweepstakes and/or your receipt or use of any prize, including the Grand Prize awarded in the Dillas Holiday Scratch Off Sweepstakes (including any travel or activity related thereto) or due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in any Dillas Holiday Scratch Off Sweepstakes-related activity or participation in the Dillas Holiday Scratch Off Sweepstakes.
6. Disputes: THIS Sweepstakes IS GOVERNED BY THE LAWS OF USA AND TEXAS/LOUISIANA, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. The Participant agrees, as a condition of participating in this promotion, that if any disputes cannot be resolved between the Participant and the Sponsor, and if causes of action arise out of or are connected with this Sweepstakes, they shall be individually resolved exclusively before a court located in [your state or province] having jurisdiction, without resorting to any form of class action. Under no circumstances in any such dispute shall the participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees, other than participant’s actual out-of-pocket expenses (i.e. costs associated with entering this Sweepstakes). The participant waives all rights to have damages multiplied or increased. 
7. Privacy Policy: Information submitted with an entry, as well as your submission, name, photo, portrait, voice, likeness, image, statements about the Dillas Holiday Scratch Off Sweepstakes, and your biographical information is subject to the Privacy Policy stated on the Dillas Quesadillas website. By entering the Sweepstakes, you grant Sponsor permission to share your email address and any other personally identifiable information with the other Sweepstakes Entities for the purpose of administration and prize fulfillment, including use in a publicly available Winners list.
8. Winners List: You may obtain a copy of the Winner’s name(s) or a copy of these Official Rules, by sending your request via mail with a stamped, self-addressed envelope to: Dillas Quesadillas Holdings, LLC at P.O. Box 797621, Dallas, TX 75379. Requests must be postmarked no later than June 30, 2025.
